Sevim Özkan
Biography
Sevim Özkan provides legal advice on commercial law and contract law matters, particularly corporate law, corporate governance principles, and national and international mergers and acquisitions. She advises domestic and foreign companies operating in different sectors in due diligence and share transfer projects. She assists companies in all their daily legal needs from the incorporation to the liquidation process, including the general assembly and board of directors’ meetings.
Upon graduating from Istanbul Bilgi University, she completed her Master's program in Economic Law at Galatasaray University Graduate School of Social Sciences. During her undergraduate studies, she took courses at The London School of Economics and Political Science.

- Assisting local and multinational companies from the incorporation stage to the completion of liquidation, assisting with various board of directors and ordinary and extraordinary general assembly meetings, including but not limited to the amendments to the articles of associations, as well as the issuance of share certificates.

- Assisting a company in the port sector with company-type change action,
- Assisting local and multinational companies with the appointment of signatories and drafting of internal directive documents,
- Assisting a leading chemical distributor company with share transfers and issuing usufruct right over the shares.
- Assisting foundations, associations, and foreign civil society organizations operating in Turkiye with their legal institutional needs.
- Assisting liaison offices in their legal institutional needs, including establishment, extension applications, and termination.
- Assisting companies that are private employment agencies affiliated with İŞKUR in their legal needs.
- Assistance in the sale and mortgage of real estate for a company operating in the real estate management sector.
- Providing legal counseling to a leading port management company.
- Providing legal advice on the establishment of an insurance company.
- Conducting due diligence of companies operating in the chemicals, cosmetics, agriculture, cargo, and postal sectors.
- Assisting foreign and Turkish clients operating in various sectors including cosmetics, agriculture, cargo and postal, pharmaceutical, IT, animation production, e-commerce, and pharmaceuticals in M&A projects, representing both buyer and seller parties, drafting and negotiating share transfer agreements, shareholders agreements and related transaction documents.
- Assisting companies operating in the cosmetics and human resources management consultancy sectors during on-site examinations conducted by the Competition Authority,
- Making applications to the Competition Authority for merger and acquisition permits of companies operating in various sectors, including the technology sector, and providing support in the execution of the process.
- Supporting clients in writing responses to information and document requests made to the client by the Competition Authority.
- Providing legal consultancy within the scope of electronic money institution and payment institution legislation.
- Providing legal consultancy within the scope of bank support organization legislation.
